1. Acceptance of Terms

By accessing or using Partzer — including creating an account, connecting your eBay account, using the AI listing tools, or accessing any feature of the platform — you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy and Cookie Policy, which are incorporated here by reference.

If you are using Partzer on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Partzer is a web-based eBay seller management platform that provides tools for creating, managing, and optimizing eBay listings. Features include:

• AI-assisted listing generation using Google's Gemini API
• eBay inventory management (viewing, creating, and ending listings)
• SKU and barcode management, including physical tag printing
• Customizable listing description templates
• Bulk listing management via CSV
• Parts compatibility management for cars, motorcycles, PWC, and snowmobiles
• User account management with subscription tiers

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice.

3. Eligibility

To use Partzer, you must:

• Be at least 18 years of age, or the legal age of majority in your jurisdiction
• Have or be authorized to operate an eBay seller account
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet all of the above requirements.

4. Account Registration & Security

To access most features, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the confidentiality of your password and not share it with others
• Notify us immediately of any unauthorized access or suspected breach of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

One account per person. You may not create multiple accounts to circumvent subscription tier restrictions, abuse free tier limits, or evade a suspension.

5. Subscription Plans & Billing

Partzer offers multiple subscription tiers — Free, Basic, and Pro — each with different feature access levels. Your active tier is displayed in your account.

Free Tier: Access to basic tools with limited feature availability. No payment required.

Paid Tiers (Basic / Pro): Expanded feature access requiring an active paid subscription. Payment is processed by PayPal. By subscribing, you authorize PayPal to charge your payment method on a recurring basis according to the plan you selected.

• Subscription fees are non-refundable except where required by law or granted at our discretion
• We reserve the right to change pricing with reasonable advance notice
• Failure to pay may result in downgrade to the Free tier or account suspension
• Accounts with voided billing (granted at admin discretion) receive paid-tier access without charge — this may be revoked at any time

All prices are in USD unless otherwise stated.

6. Acceptable Use

You agree to use Partzer only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to list counterfeit, stolen, illegal, prohibited, or infringing items on eBay
• Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems
• Scrape, copy, or systematically extract data from the Service beyond normal use
• Use the AI listing tools to generate fraudulent, misleading, or deceptive product descriptions
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that violates eBay's own Terms of Service or seller policies
• Share, resell, or sublicense access to the Service without our written consent
• Use automated bots or scripts in a way that places excessive load on our servers

Violation of these terms may result in immediate account termination without refund.

7. eBay Integration

Partzer integrates with eBay via eBay's official Developer API and OAuth 2.0 authentication. By connecting your eBay account, you:

• Authorize Partzer to access, create, modify, and end listings on your eBay account as directed by your use of the Service
• Acknowledge that all eBay listing actions (creating listings, ending listings, etc.) are performed on your behalf and under your eBay seller account — you remain solely responsible for compliance with eBay's policies
• Accept that Partzer is an independent third-party tool and is not affiliated with, endorsed by, or officially partnered with eBay Inc.
• Understand that eBay may change its API, policies, or terms at any time, which may affect the functionality of Partzer

You may revoke Partzer's eBay access at any time through eBay's "Connected Applications" settings. Revoking access will prevent listing-related features from functioning.

8. AI Features

Partzer uses Google's Gemini AI to generate listing titles, descriptions, and part number suggestions. You acknowledge that:

• AI output is not guaranteed to be accurate. Generated descriptions, part numbers, prices, and compatibility data may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing and verifying all AI-generated content before publishing it to eBay
• AI-generated descriptions do not constitute professional advice (legal, mechanical, appraisal, or otherwise)
• You must not use AI-generated content in a way that is misleading to buyers or violates eBay's item condition or description policies
• Images and text submitted to the AI tool may be processed by Google's Gemini API in accordance with Google's terms and privacy policies
• We are not responsible for outcomes resulting from reliance on AI-generated content without independent verification

9. Intellectual Property

All software, design, trademarks, logos, text, and other content that make up the Partzer platform are owned by or licensed to us and are protected by applicable intellectual property laws.

• You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission
• The "Partzer" name, logo, and branding are proprietary to us
• Nothing in these Terms grants you a license to our intellectual property beyond the limited right to use the Service as described herein

10. User Content

"User Content" means any images, text, SKUs, listing data, CSV files, or other material you submit through the Service.

• You retain ownership of your User Content
• By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process and transmit that content as necessary to operate the Service (e.g., sending images to the AI API, transmitting listing data to eBay)
• You represent that you own or have the necessary rights to all User Content you submit, and that it does not infringe any third-party rights
• We are not responsible for the accuracy, legality, or appropriateness of User Content

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties including, without limitation:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, or free of viruses or harmful components
• Any warranty regarding the accuracy or reliability of AI-generated content
• Any warranty that the Service will meet your specific requirements or produce specific eBay listing outcomes

We make no representation that eBay will accept or publish listings created through the Service, as eBay's platform and policies are outside our control.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Partzer and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Lost profits, lost revenue, or lost data
• Errors in AI-generated listings published to eBay
• eBay account restrictions, suspensions, or policy violations resulting from your use of the Service
• Unauthorized access to your account or data
• Service outages, downtime, or data loss

In no event shall our total cumulative liability to you exceed the greater of (a) the total amount you paid us in the twelve months preceding the claim, or (b) $50 USD.

Some jurisdictions do not allow certain liability exclusions; in such cases, our liability will be limited to the minimum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Partzer, its operators, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service or violation of these Terms
• Your eBay listings created through the Service, including any buyer claims, disputes, or chargebacks
• Your User Content, including any infringement of third-party intellectual property rights
• Any misrepresentation of goods listed on eBay using Partzer tools

14. Termination

By you: You may close your account at any time by contacting us. Upon closure, your account data will be deleted in accordance with our Privacy Policy. No refunds will be issued for remaining subscription periods unless required by law.

By us: We reserve the right to suspend or terminate your account immediately, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, abused the Service, or posed a risk to other users or the platform.

Upon termination, your right to use the Service ceases immediately. Sections 9, 11, 12, and 13 of these Terms survive termination.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict of law principles. You agree that any dispute arising from these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Waukesha County, Wisconsin, and you consent to personal jurisdiction in those courts.

Before filing any legal claim, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

16. Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

For significant changes, we may provide additional notice (e.g., a notice in the application on your next login).
